1. Acceptance and Eligibility
These Terms of Service ("Terms") form a binding agreement between you (the "Customer") and Fasite ("Fasite", "we", "us"). By creating an account, clicking a button labeled "Sign up", "Subscribe", or similar, or by using the Service, you accept these Terms.
You must be at least 18 years old and have authority to bind the business you represent. If you do not agree, do not use the Service.
2. Definitions
- Service means the Fasite platform, including the marketing site, customer dashboard, AI generation pipeline, customer-hosted websites, and, on the AI Front Office plan, the AI receptionist (voice), text messaging (SMS), online booking, and lead management (CRM) features, plus related features.
- Customer Data means information you submit to the Service (business intake, uploaded assets, generated site content, leads collected through your site).
- Output means content generated by the Service's AI pipeline based on your inputs (page copy, images, SEO metadata).
- Subscription means a paid plan granting access to the Service for a billing period.
- End User means a visitor to a website built with the Service (typically the Customer's prospective client).
3. The Service and License Grant
Subject to your compliance with these Terms and payment of applicable fees, Fasite grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business purposes during the term of your Subscription.
Fasite retains all rights, title, and interest in and to the Service, including software, models, prompts, designs, and any Fasite-owned templates. Nothing in these Terms transfers ownership of the Service to you.
3A. AI Front Office Features (Voice, Texting, Booking, CRM)
On the AI Front Office plan, the Service can answer phone calls, send and receive text messages, take online bookings, and organize the resulting leads on your behalf. These features involve communication with your customers and prospects, so you have specific responsibilities when you enable them.
- AI receptionist and call recording. Inbound calls to your Fasite number, and some outbound calls placed on your behalf, are answered by an automated AI voice agent. These calls are recorded and transcribed, and the transcript and an AI-generated summary are stored as a lead in your dashboard. You are responsible for ensuring an appropriate recording disclosure is provided to callers and for complying with the call-recording and two-party-consent laws of the jurisdictions you and your callers are in. The AI agent identifies itself as an automated assistant and does not claim to be a human.
- Text messaging (SMS). The Service can provision a dedicated phone number for your business and send and receive text messages, including an automatic text-back when a call is missed. By enabling texting you confirm that you have a lawful basis to message the recipients (for example, an existing customer relationship or prior consent) and that you will use it only for communications related to your business.
- Carrier registration (10DLC) and quiet hours. Outbound text messaging is gated by carrier registration (10DLC) and only begins once that registration is approved. To register, you must provide accurate business and contact information. Automated messages are not sent during quiet hours (currently 9:00 PM to 8:00 AM in the recipient's local time) other than messages you send directly. You agree not to use texting to send spam, unsolicited, deceptive, or unlawful messages.
- STOP opt-out. When a recipient replies STOP (or a similar opt-out keyword), the Service honors the opt-out immediately and stops sending automated messages to that recipient. You must not attempt to circumvent or override an opt-out.
- Online booking and appointments. The Service can show real availability, let your customers book appointment slots, and send booking confirmations. You are responsible for keeping your availability accurate and for honoring the appointments your customers book.
- Lead management (CRM). The Service aggregates phone calls, text conversations, and web-form submissions into lead records so you can review and reply to them from your dashboard. This lead data is Customer Data and is handled as described in Sections 9 and 11 and in our Privacy Policy.
4. Account Registration and Security
You must provide accurate registration information and keep it current. You are responsible for safeguarding your credentials and for all activity that occurs under your account. Notify Fasite at support@fasite.org immediately if you suspect unauthorized access.
5. Subscription, Fees, and Billing
Fasite charges $129 USD per month per active website on the base plan, or, if you elect annual billing, $109.65 USD per month billed annually ($1,315.80 per year, a 15% discount). The AI Front Office plan, which adds the AI receptionist, texting, and booking features described in Section 3A, is $229 USD per month, or $194.65 USD per month billed annually ($2,335.80 per year). A different price may be shown to you at checkout or agreed in writing; the price displayed at checkout governs.
Stripe handles payment processing. By providing a payment method, you authorize Fasite (via Stripe) to charge the applicable fees on the recurring schedule until you cancel. You agree to keep a valid payment method on file.
Taxes. Prices are exclusive of any applicable sales, use, VAT, GST, or similar taxes. You are responsible for any taxes owed on your purchase under the laws of your jurisdiction.
6. Auto-Renewal, Cancellation, and Refunds
Subscriptions auto-renew at the end of each billing period at the then-current rate. You may cancel at any time from your customer dashboard or by emailing support@fasite.org. Cancellation takes effect at the end of the current billing period.
Fees are non-refundable. We do not pro-rate partial periods. If you cancel mid-period, your site remains live and accessible through the end of the paid period and is taken down at the end of that period.
California, New York, Florida, Oregon, and similar jurisdictions require specific automatic-renewal disclosures; the auto-renewal terms above apply uniformly and are presented conspicuously at checkout.
7. Free Trial and Complimentary Access
30-day free trial. Unless a different trial length is shown to you at sign-up, new accounts receive a free trial that lasts 30 days. The trial is free for that period and is not a money-back guarantee. At the end of the trial, your subscription automatically converts to the paid plan you selected (for example, $129 per month for the base plan or $229 per month for the AI Front Office plan, or the annual equivalent), and your payment method on file is charged on a recurring basis until you cancel. To avoid being charged, cancel before the trial ends from your customer dashboard or by emailing support@fasite.org. If you cancel during the trial, you will not be charged and access ends at the close of the trial period.
Complimentary ("comp") access. Fasite may also grant complimentary access at its discretion. Comp access may be revoked or converted to paid at any time on reasonable notice. These Terms apply during free trial and comp periods except that fee-related provisions only take effect once paid status begins.
8. Acceptable Use Policy
You agree not to use the Service to:
- Violate any law, regulation, or third-party right (including intellectual property, privacy, publicity, and consumer protection laws).
- Send unsolicited commercial communications, phishing messages, or fraudulent content; impersonate a real person or business; or build a site that misrepresents who you are.
- Publish or distribute content that is defamatory, harassing, hateful, sexually explicit involving minors, or designed to facilitate self-harm.
- Reverse-engineer, decompile, scrape, or extract our models, prompts, or proprietary system code; use the Service to train a competing AI product.
- Circumvent rate limits, abuse free or trial features, or interfere with the operation of the Service.
- Provide medical, legal, financial, tax, or other professional advice on your site without your own professional review and disclaimers.
- Use the AI receptionist, texting, or booking features in violation of applicable communications laws, including the TCPA, CAN-SPAM, call-recording and two-party-consent laws, and carrier (10DLC) requirements; send unsolicited or unlawful text messages; message recipients during quiet hours other than messages you send directly; or ignore a STOP or other opt-out request.
We may suspend or terminate your account, remove content, or disable a published site if we reasonably determine that your use violates these terms or applicable law.
9. Customer Content and Data Ownership
You retain all rights to the Customer Data you provide and the content you publish through the Service. You grant Fasite a limited, worldwide, royalty-free license to host, store, transmit, display, modify (for technical purposes such as resizing or rendering), and process Customer Data solely as needed to operate and improve the Service for you. This license terminates when you delete the content or close your account, except where retention is required by law.
10. AI-Generated Output
The Service uses third-party AI models to generate Output based on your inputs. Output is probabilistic and may contain inaccuracies, omissions, or content that resembles pre-existing material.
- Review obligation. You are responsible for reviewing all Output before publishing it. You are the publisher of record for everything on a site built with the Service.
- Ownership. As between you and Fasite, you own the Output applied to your site, subject to the upstream third-party model terms passed through below.
- No training on your data. Fasite does not use your Customer Data, business intake, or End User leads to train our own AI models or those of our subprocessors. We may use aggregate, de-identified metrics for service operation and improvement.
- Third-party model terms. AI generation is provided by OpenAI and fal.ai (and may include other providers in the future). Their respective terms govern inference and pass through to your use of Output. Fasite contracts with these providers under their commercial, zero-retention or limited-retention terms where available.
- No warranty on AI output. Output is provided "as is". We do not warrant accuracy, non-infringement, fitness for purpose, or originality.
11. Lead Data Ownership and Processing
Leads collected through forms on your Fasite-hosted site belong to you. Fasite acts as a data processor for those leads, operating on your instructions. You can manage and update leads from your dashboard; for bulk export or deletion, email support@fasite.org. When you cancel your subscription or close your account, leads are deleted in accordance with the retention schedule in our Privacy Policy.
You are responsible for handling lead data in compliance with applicable laws (privacy, anti-spam, telemarketing, etc.) and for providing any notices required to End Users in your own privacy policy.
12. Custom Domains and Hosting
Fasite hosts your site on a Fasite-managed subdomain by default. If custom-domain support is available to your account and you connect a custom domain, you are responsible for purchasing and renewing the domain through a third-party registrar and for configuring the DNS records we provide. Fasite is not responsible for DNS misconfiguration, registrar issues, propagation delays, expired domains, or third-party SSL certificate failures.
13. Third-Party Services
The Service relies on third-party providers including Stripe (payments and billing), Supabase (database and authentication), Resend (transactional email), Cloudflare R2 (asset storage), Vercel (site hosting), Render (API hosting), Upstash (job queues), OpenAI (large language model inference), fal.ai (image generation), Telnyx (voice and SMS connectivity and phone numbers), and Retell (AI voice agent). Use of the Service may be subject to the respective terms of these providers. Outages or changes by these providers may affect the Service; we will use commercially reasonable efforts to minimize impact.
14. Suspension and Termination
Fasite may suspend or terminate your account for non-payment, breach of these Terms, abuse of the Service, or to comply with legal obligations. Where practicable, we will provide notice and an opportunity to cure for non-material breaches. For non-payment, we will follow a standard dunning sequence (typically retry, notice, and suspension within 14 to 30 days) before disabling the site.
You may terminate by canceling your subscription from your customer dashboard or by contacting support. On termination, your site is taken down at the end of the current billing period and your data is retained per the Privacy Policy before deletion.
15. Intellectual Property
Fasite IP (software, models, prompts, designs, brand) remains Fasite's property. Customer Data and Output (subject to Section 10) are yours. If you provide feedback or suggestions about the Service, you grant Fasite a perpetual, irrevocable, royalty-free license to use that feedback to improve the Service.
16. Confidentiality
Each party agrees to protect the other's non-public information with at least the same degree of care it uses for its own confidential information, and to use it only for purposes of this agreement. This does not apply to information that is or becomes public through no fault of the receiving party, was lawfully known prior, is independently developed without use of confidential information, or is required to be disclosed by law.
17. Warranties and Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied. To the maximum extent permitted by law, Fasite disclaims all implied warranties including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.
Fasite does not offer a service-level agreement (SLA) on this tier. We use commercially reasonable efforts to maintain availability but make no uptime guarantee.
18. Limitation of Liability
To the maximum extent permitted by law, Fasite's total liability arising out of or related to these Terms or the Service is limited to the greater of (a) the fees you paid to Fasite in the 12 months preceding the claim or (b) one hundred US dollars ($100). In no event will Fasite be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost revenue, lost data, or business interruption, even if advised of the possibility of such damages.
Some jurisdictions do not allow exclusion of certain warranties or limitation of certain damages, so portions of this section may not apply to you.
19. Indemnification
By you. You agree to defend, indemnify, and hold harmless Fasite and its affiliates from any third-party claims arising out of your Customer Data, your Output as published on your site, your violation of these Terms, or your violation of applicable law.
By Fasite. Fasite will defend you against third-party claims that the Service itself (as provided by Fasite, excluding Output and Customer Data) infringes a US copyright, US trademark, or US patent issued at the effective date of these Terms, and pay damages finally awarded attributable to such claim, provided you notify us promptly, cooperate, and let us control the defense. Fasite is not responsible for claims arising from your modifications, third-party content you input, or unauthorized use.
20. DMCA and Copyright Complaints
If you believe content on a Fasite-hosted site infringes your copyright, send a DMCA notice to legal@fasite.org including the elements required by 17 U.S.C. § 512(c)(3). We will process valid notices and counter-notices in accordance with the DMCA. Repeat infringers may have their accounts terminated.
21. Privacy and Data Processing
Our Privacy Policy is incorporated into these Terms by reference. For customers who require a data processing agreement (DPA) for lead-data processing, contact legal@fasite.org to execute Fasite's standard DPA.
22. EU AI Act Transparency
Customers serving end users in the European Union should be aware that content generated by the Service is AI-generated. Beginning in August 2026, the EU AI Act may require transparency labeling for synthetic content; you are responsible for adding any disclosures required of the publisher under that or similar regulations in your jurisdiction.
23. Modifications to These Terms
We may update these Terms from time to time. Material changes will be communicated by email to active customers and posted here with at least 30 days' notice. Continued use after the effective date of an update constitutes acceptance. If you do not agree to a change, your remedy is to cancel before it takes effect.
24. Governing Law and Disputes
These Terms are governed by the laws of the State of New Jersey, USA, without regard to its conflict-of-law rules. Subject to the arbitration provisions below, exclusive jurisdiction and venue for any disputes that proceed in court lies in the state and federal courts located in Essex County, New Jersey.
Disputes will be resolved by binding individual arbitration administered by JAMS in accordance with its applicable rules. You and Fasite agree to bring claims only in an individual capacity and not as a plaintiff or class member in any purported class or representative proceeding (class-action waiver). Either party may bring an individual claim in small-claims court if eligible. Nothing in this section prevents either party from seeking injunctive relief for misappropriation of intellectual property in a court of competent jurisdiction.
25. Miscellaneous
- Entire agreement. These Terms (with the Privacy Policy) are the entire agreement between you and Fasite and supersede any prior agreements.
- Severability. If any provision is held unenforceable, the rest remains in effect.
- No waiver. A failure to enforce a provision is not a waiver.
- Assignment. You may not assign these Terms without Fasite's consent. Fasite may assign in connection with a merger, acquisition, or sale of assets.
- Force majeure. Neither party is liable for delay or failure caused by events beyond reasonable control (natural disaster, war, government action, network or third-party outage).
- Notices. Legal notices to Fasite go to legal@fasite.org. Notices to you go to the email on file. Notices via the customer dashboard are sufficient for routine communications.
- Headings. Section headings are for convenience only and do not affect interpretation.
